These Terms explain how businesses, buyers, agents, and visitors may use Dnols. Dnols helps businesses create agent-ready profiles, receive and manage deal requests, send notifications, and use AI-assisted workflow tools. Humans remain responsible for final business decisions.
1. Acceptance
By accessing or using Dnols, including the website, dashboard, registry, APIs, SMS flows, email flows, and related services, you agree to these Terms. If you use Dnols for a business, you represent that you have authority to use the service for that business.
2. Business Accounts
Dnols is intended for business use. You must provide accurate account, business, contact, and profile information. You are responsible for keeping login credentials, reset codes, devices, and business email accounts secure. You are also responsible for activity that occurs through your account or authorized business channels.
3. Business Profiles and Registry Listings
Dnols lets businesses create agent-ready profiles and public registry listings. You are responsible for the accuracy, legality, and completeness of the information you submit. Dnols may validate, score, review, reject, pause, or remove listings. Public registry information may be made available to people, crawlers, AI agents, and protocol adapters.
Do not submit private floor prices, API secrets, credentials, internal notes, private negotiation rules, or confidential third-party data for public publication. If you provide such information in private dashboard settings, you are responsible for marking and handling it appropriately.
4. Deal Requests, Approvals, Orders, and Messages
Dnols can help route deal requests, approvals, counter offers, payment confirmations, delivery confirmations, disputes, and messages between parties. These workflows are operational tools only. A deal, order, payment, delivery, or commitment is not final unless the responsible human parties agree and complete any required external steps.
You are responsible for verifying counterparties, deal terms, pricing, taxes, duties, delivery requirements, payment instructions, compliance obligations, and any off-platform communications.
5. SMS and Email Notifications
Dnols may send and process SMS and email messages for verification, password reset, deal notifications, reminders, approvals, counter offers, disputes, and operational messages. By providing a phone number or email address, you confirm that you have the right to use it for these purposes. Message delivery depends on third-party providers and network availability.
SMS replies such as YES, NO, COUNTER, ACCEPT, DECLINE, PAID, RECEIVED, DISPUTE, and MSG may trigger workflow updates. You are responsible for ensuring that people who can access your business phone or email are authorized to respond.
6. AI-Assisted Features
Dnols may use AI providers to help draft responses, evaluate requests, prepare negotiation drafts, summarize business context, and simulate agent-to-agent negotiation. AI output can be incomplete, incorrect, delayed, or unsuitable for your situation. You must review AI output before relying on it. AI output does not create binding commitments unless an authorized human approves and executes the relevant action.
7. Payments and Fees
Dnols may link to third-party payment services or show payment instructions for plans, service fees, or deal-related payments. Payment processors, mobile money providers, banks, and counterparties may apply their own terms and fees. Dnols is not responsible for off-platform payment errors, chargebacks, fraud, failed transfers, or settlement delays unless required by applicable law.
8. Acceptable Use
You must not use Dnols to:
- submit false, misleading, unlawful, infringing, harmful, or deceptive information;
- impersonate another business or person;
- send spam, abusive messages, malware, phishing content, or unauthorized communications;
- attempt to bypass security, scrape private areas, access another user's data, or reverse engineer protected systems;
- place illegal, sanctioned, restricted, unsafe, or fraudulent requests;
- upload secrets or personal data that you do not have permission to process.
9. Third-Party Services
Dnols relies on third-party services for hosting, authentication, database storage, email delivery, SMS delivery, AI processing, fonts, and payments. These services may have their own terms, privacy practices, limitations, outages, rate limits, and fees. Dnols is not responsible for third-party services except as required by applicable law.
10. Intellectual Property
Dnols and its software, branding, interface, templates, documentation, and workflows are owned by Dnols or its licensors. You retain rights to business information and content you submit, but you grant Dnols permission to host, process, display, publish, transmit, transform, and use that content as needed to provide the service, operate the registry, support integrations, and protect the platform.
11. Service Changes and Availability
Dnols is an evolving service. Features may be added, changed, paused, limited, or removed. We do not guarantee uninterrupted availability, error-free operation, specific registry ranking, deal volume, AI quality, SMS delivery, or business outcomes.
12. Suspension or Termination
We may suspend, limit, or terminate access if we believe you violated these Terms, created risk for users or the platform, submitted unsafe content, misused communications, failed verification, or used Dnols in a way that may cause legal, security, or operational harm.
13. Disclaimers and Liability
Dnols is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Dnols disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted service, and error-free results.
To the maximum extent permitted by law, Dnols will not be liable for indirect, incidental, special, consequential, punitive, or lost-profit damages, or for losses arising from third-party services, AI output, deal disputes, off-platform payments, incorrect business information, or unauthorized account use.
14. Governing Law
These Terms are governed by the laws and courts of the jurisdiction that applies to Dnols operations and the relevant transaction, unless mandatory local law provides otherwise.
